2025 Policy Survey Results

Glass Lewis’ Policy Survey includes views from investors, issuers and other market participants on questions related to board composition, executive pay, shareholder rights and other topics.

Key findings from the 2025 Policy Survey include:

  • An overwhelming majority of respondents do not base governance decisions solely on financial analysis (85% among investors, and 76% among non-investors).

  • Investor analysis of reincorporation is evolving in light of DEXIT and Texas & Nevada reforms, with 50% putting additional emphasis on shareholder rights, and 32% putting less emphasis on protecting directors, officers, and controlling shareholders.

  • We observed significant divergences between U.S. and non-U.S. investor views on biodiversity, board diversity, the use of multi-class share structures, approach to climate stewardship, and other topics.

These findings inform our annual policy update process, and provide a window into how shareholders, public companies and others are approaching developing governance and stewardship issues.
